Terms for Civitas and Arena

What these terms cover

Rome Network Corp., a Panama corporation, operates Civitas and Arena. In these terms, “Rome”, “we” and “us” mean Rome Network Corp.

Civitas records activity through Rome as Laurels associated with wallets. Anyone can look up a wallet’s public Civitas record.

Arena lets builders list apps and contracts, record progress and apply for grants. Ambassadors can record activities and invite builders.

These terms govern your use of Civitas and Arena. If you do not agree, do not use them. If you act for an organisation, you must have authority to accept these terms for it.

What Laurels are

Laurels are records of activity that Rome chooses to count. They are not money or tokens. They have no cash value and cannot be bought, sold or transferred.

Laurels give you no right to tokens, payment, a grant or any other benefit. You have no contractual right to keep a displayed balance.

A rank, milestone, badge, level or leaderboard position describes what the service records. It does not establish a right to receive anything.

No offer, no right to anything

Recording activity does not promise a distribution.

Using Rome, spending money, holding an NFT, submitting an application or appearing on a leaderboard does not create an entitlement. Neither does time or effort spent participating.

A balance, estimate, announcement or message about possible rewards does not itself create an allocation or a binding commitment.

Rome decides whether to offer anything, to whom and on what terms. Nothing in these terms limits rights that the law does not allow us to exclude or changes an obligation under a separate binding agreement.

Rome can change the programmes

Rome may change, suspend or end Civitas, Arena or any programme they record. Rome may change what counts, how activity is assessed and who may participate.

Rome may correct, recalculate, reset or remove Laurels and other records, including records of past activity. Rome may change or remove bonuses, ranks, milestones, badges, levels and listings.

Participation does not itself create a right to compensation when a programme changes or ends.

We will give notice where the law requires it. Where permitted, changes may take effect without advance notice, including changes needed to address errors, abuse or legal requirements.

We may revise these terms by publishing a replacement. We will provide any notice and obtain any agreement required by law. A revision does not override mandatory rights or a separate binding agreement.

Who can receive anything, and how much

Rome alone decides whether to make a distribution, who is eligible, the amount and the conditions. A record of Laurels or an application does not require Rome to make that decision in your favour.

Any distribution Rome chooses to make is subject to vesting. This includes distributions connected with Laurels, grants, ambassador activity or NFT ownership. Vesting means an allocation becomes available only as its separate terms provide.

No distribution is made at or because of a token launch or listing.

Identity verification, including know-your-customer checks, is required at claim. Rome may also require information needed for legal, sanctions or abuse checks. Completing a check does not guarantee eligibility or a distribution.

Rome may reject participation or claims, remove recorded activity or exclude an account where it reasonably believes there has been manipulation, false information, prohibited conduct or a breach of these terms. Rome may also exclude participation where required by law.

Using multiple wallets is not, by itself, prohibited. Using them to evade restrictions or manipulate records is prohibited.

Rome’s records are the basis for its programme decisions. Rome may correct those records. This does not prevent you from reporting an error or exercising a legal right.

How to use Civitas and Arena

You must be an adult with legal capacity to enter into these terms.

Provide accurate information and use only accounts and wallets you are authorised to use. You are responsible for your submissions and for protecting your account access.

Do not:

Grants in Arena

Grants are discretionary and never automatic.

An app’s progress, rank, application or audit does not entitle its team to a grant, a review or a response. Rome decides whether to consider an application and whether to offer a grant.

An approval displayed in Arena does not, by itself, create a binding payment obligation. A grant commitment requires a separate binding agreement. That agreement governs the allocation, vesting, permitted uses and any reporting, cancellation or repayment conditions.

Before a binding agreement exists, Rome may change or withdraw a proposed grant. After an agreement exists, its terms apply.

Before giving a grant to an app that holds user funds, Rome requires an audit it has accepted. An audit does not guarantee safety or create a right to a grant.

Grants are subject to vesting. Identity verification is required at claim. No grant distribution is made at or because of a token launch or listing.

Ambassadors, invitations and referrals

Ambassadors may submit activities, posts and referrals for Rome to record. Rome decides what counts and may reject or correct a submission.

Submitting an activity or inviting a builder does not promise Laurels or a distribution.

Describe your role honestly. Clearly disclose any material connection or incentive when promoting Rome where the law requires it. A disclosure on your profile alone may not be enough.

Being an ambassador does not authorise you to bind Rome, make commitments for Rome or promise rewards to anyone.

Do not send unsolicited bulk invitations, mislead invitees or sell access to the programme.

Rome NFT holders

Holding a Rome NFT does not create a right to Laurels, a bonus, a grant or a distribution.

Rome may choose to record an NFT-related bonus and may change or end it. NFT ownership and transfers remain subject to any separate terms that apply to the NFT.

What you see may be wrong

Balances, activity, ranks and other displays may be delayed, incomplete or incorrect. Rome may correct them.

A display is not confirmation of eligibility, a binding allocation or a payment obligation. Report errors through the contact below.

What you give us

You retain ownership of material you submit.

You give Rome permission to store, copy, format and display that material as needed to operate the services and present your public app or profile. This permission is non-exclusive, worldwide and royalty-free. Service providers may handle the material for those purposes.

You must have the rights and permissions needed for your submissions. This permission does not transfer ownership of your app or code.

You may ask us to remove a listing or submission. Removal cannot recall copies already shared by others, remove blockchain records or prevent retention required by law. Personal data is handled under the privacy notice.

You can delete your Arena account from your account page. If an app you own has other team members, ownership in Arena passes to the longest-standing member and the app stays. If you are its only team member, the app is deleted from Arena. This does not transfer ownership of the app’s code or delete contracts on public blockchains. The privacy notice explains what account deletion removes and what remains.

Rome may remove or restrict material, subject to applicable law and binding agreements.

The law, and taxes

Do not use the services where your participation is prohibited by law.

You are responsible for taxes that apply to you. Rome may withhold amounts or report information where required by law.

The services do not provide legal, tax or investment advice.

Public blockchain activity is visible

Blockchain transactions and addresses are public. Linking a wallet, contract, app or public profile may make it easier to connect blockchain activity with a person.

Rome cannot erase blockchain records or control copies held by others.

Some information submitted to Arena is private. The privacy notice explains what is public and how other information is handled.

Our responsibility

To the extent permitted by law, the services are provided as available, without guarantees of uninterrupted access, accuracy or suitability for a particular purpose.

Third-party wallets, networks, apps and services operate under their own terms. A listing or link does not mean Rome guarantees them.

To the extent permitted by law, Rome is not liable for indirect or consequential losses, including lost profits or lost opportunities arising from use of the services.

Nothing excludes liability for fraud, wilful misconduct, gross negligence or any liability that cannot lawfully be excluded.

Panama law governs these terms, without applying its conflict-of-laws rules. Subject to mandatory law, disputes belong in the competent courts of Panama City, Republic of Panama.

If you are a consumer, this choice does not remove protections or access to courts that mandatory law gives you. It does not prevent complaints to a competent regulator.

If a provision cannot be enforced, the remaining provisions continue to apply to the extent permitted by law.
